TITLE: Counsel and Vice President

REPORTING RELATIONSHIP: The Counsel and Assistant Vice President will report to the Corporate Secretary and Counsel

RESPONSIBILITIES: The Counsel will assist in managing all legal activities of the Bank and advise on legal considerations critical to making strategic and tactical business decisions, including interpretation of relevant laws, rules and regulations. The Counsel position will perform the following duties:
  • Coordinate with Bank departments and senior managers to resolve issues identified by the Bank’s regulators, including the Federal Reserve Bank, the Office of the Comptroller of the Currency and the Federal Deposit Insurance Corporation.
  • Assist in developing Bank policies and procedures to establish appropriate centralization of all legal matter/decisions and ensure proper and uniform documentation.
  • Convey timely counsel to corporate and branch personnel on legal banking matters, and coordinate with external counsel as necessary.
  • Monitor and report on key vendor contractual relationships.
  • Monitor and report on the status of all litigation in which the Bank is a party.
  • Participate with the Office of Corporate Secretary and the Finance & Accounting Department to prepare public company annual and quarterly reports, as well as other regulatory and special reports to the Securities Exchange Commission and NASDAQ.
  • Advise the Board of Directors and management on public company insider trading policy, pre-clearance of stock trading activity and Section 16 filings.
  • Coordinate with the Finance & Accounting and Human Resources Departments on director and executive officer stock award compensation, and complete required reporting and account set up requirements with the company’s transfer agent.
  • Provide project-related support, research and analysis on corporate matters.
REQUIREMENTS/EXPERIENCE:
  • Minimum of 5 to 7 years practicing Corporate Law
  • Admitted to the New York State Bar and currently in good standing
  • Minimum of 3 years experience with OCC regulated banks preferred
  • Knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and SEC reporting and governance requirements
  • Knowledge of NYSE or NASDAQ listing requirements
  • Strong written, verbal and interpersonal communication skills
  • Ability to manage multiple complex projects simultaneously
